Company overview
TCW Steel City Senior Lending BDC is a privately offered, perpetual-life business development company that lends to US middle-market companies through senior secured loans. It is the BDC of the PNC–TCW private credit platform: TCW is the Advisor and a PNC subsidiary the Sub-Advisor. Its investors had committed $576.0M at Jun 30, 2026, of which 48.4% was funded, and it had $279.5M of net assets. It borrows under two facilities with separate collateral: a $200.0M subscription line from Natixis, secured on investors' unfunded commitments, and a $475.0M asset-based facility from a Barings-led group, secured on the loan portfolio. At Jun 30, 2026 the subscription line had $105.2M drawn and $15.0M available, because availability is capped by a borrowing base built from eligible investors' unfunded commitments. TCW has asked Natixis to raise the line to $250.0M, move maturity from Apr 2027 to Apr 2029, and reclassify its largest investor, a wealth-management feeder. You work at Calloway Trust Bank (hypothetical), which has been invited to provide the extra $50.0M. The request and the investor roster are hypothetical; the investor totals, the facility and the fund's financials are real.
Your memo should answer
- 01Borrowing base at Jun 30, 2026: rebuild it from Exhibits 3A and 3B, applying the concentration limits to each investor's unfunded commitment excluding the pending July 1 call, before advance rates. Reconcile your figure to the subscription line's drawn plus available amount in Exhibit 2A, and state the effective advance rate on (a) reported undrawn commitments and (b) unfunded commitments excluding the pending call.
- 02Request case: recompute the Jun 30 borrowing base with Smithfield Street as a Non-Rated Included Investor. How much of a $250.0M Maximum Commitment could the fund actually borrow? What drawn exposure, annual interest and fee income would Calloway's $50.0M (20%) share carry at the Jun 30 drawn balance, at 1-month Term SOFR of 3.92490% (CME, Oct 9, 2026) and with Term SOFR 100 bp higher? Show the fund's interest coverage on the same two bases: (total investment income − expenses other than interest and credit facility expenses) ÷ interest and credit facility expenses, for LTM Jun-26 and Q2-26 annualized.
- 03Downside, investor stresses: for each case below, give the borrowing base (as filed classifications), any mandatory prepayment against the Jun 30 drawn balance of $105.2M, and whether an Event of Default follows. (a) The Keelboat group fails to fund a capital call. (b) Brightwater's Funding Ratio falls below the 70% minimum. (c) The fund repeats its largest capital call to date ($120.0M, January 2026) pro rata, with no new commitments. (d) Smithfield Street, the largest investor, fails to fund a capital call.
- 04Run-off: using the Advisor's projections (Exhibit 4B), project the borrowing base each quarter to Q1-28E with and without the targeted (unsigned) commitments, and compare it with projected peak usage. Then test the fund's 1940 Act asset coverage (minimum 150%) with both facilities drawn to their usable limits. What does this mean for a maturity in April 2029 and for the role of the asset-based facility?
- 05Pricing and terms: is Term SOFR + 2.10% with a 0.30% / 0.50% unused fee right for this borrower, given the market data in Exhibit 4C? For each of TCW's five requested changes, say whether you would accept it, reject it, or accept it with changes, and why.
- 06Recommendation: should Calloway join the renewal, and with what commitment? State the conditions you would require for approval, covering sizing, investor eligibility, reporting and extension terms.
