Lending against pools of receivables, loans or equipment: underwrite the collateral, the structure that protects you, and the servicer that collects it.

In a cash-flow loan you lend against a company's earnings. In asset-based and specialty finance you lend against a pool of assets, such as consumer or small-business loans, equipment leases, trade receivables or inventory, usually held in a bankruptcy-remote special-purpose vehicle (SPV). The pool's collections repay you, so the lender's questions change: what is the pool worth, how fast is it losing value, and what protects you if losses rise?
Common structures are warehouse facilities for non-bank lenders (revolving lines that fund new loans until they are securitized or sold), asset-based loans against a company's receivables and inventory, and forward-flow or portfolio financings.
| Metric | What it tells the lender |
|---|---|
| Advance rate | The share of eligible collateral you lend against. One minus the advance rate is the first-loss cushion under you. |
| Borrowing-base headroom | How far the draw sits below the borrowing base, and how quickly it shrinks if collateral becomes ineligible. |
| Loan-to-value | Draw divided by collateral value, for asset-heavy pools such as equipment or real estate. |
| Excess spread | Pool yield minus funding cost, servicing and losses: the first line of defence before the first-loss cushion. |
| Delinquency and charge-off trends | Read by vintage. A growing pool hides losses because young loans haven't defaulted yet. |
| Breakeven loss multiple | How many times base-case losses the structure absorbs before the senior lender is impaired. |
| Recovery by tranche | What each layer gets back if the pool is wound down, after recoveries and the cost of moving servicing. |
The question to answer
Not whether the pool performs today, but how bad losses can get before you are hurt, and whether the triggers stop new lending early enough.
Practice on the asset-based case in the library. The model template for that case has tabs for the borrowing base, excess spread, a loss-and-trigger grid and a pool wind-down.
